Terms and Conditions for 731 Rap Battle Contest

Effective Date: July 30, 2025

Welcome to the 731 Rap Battle Contest (the "Contest"), hosted by Colton Hunt DBA Hunt The Sound (referred to as "we," "us," or "our"). By participating in the Contest, downloading the instrumental beat (the "Beat") from www.huntthesound.com/rap-battle, recording and uploading your entry, or otherwise engaging with the Contest, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not participate.

These Terms govern your participation in the Contest, including the download and use of the Beat produced by Myke Milyan. We reserve the right to update these Terms at any time; continued participation constitutes acceptance of changes.

1. Eligibility

• The Contest is open only to individuals who are legal residents of the 731 area code in Jackson, Tennessee, USA, and at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher).

• Employees, affiliates, or immediate family members of the host, Myke Milyan, Larry B’s place, or any sponsors are ineligible.

• Participation is void where prohibited by law.

2. How to Enter

• Download the Beat from the provided link.

• Record your vocals over the Beat, ensuring content is non-violent, free of threats, and compliant with these Terms.

• Upload your video performance to Facebook, using the hashtag #731RapBattle.

• Entries must be submitted by August 9, 2025. Late entries will not be considered.

• No entry fee is required. Limit one entry per person.

• If you need assistance with recording or editing, contact us via Facebook DM, but we provide no guarantees of support.

3. Selection and Prizes

• The top 10 videos with the most views on Facebook (as determined by us in our sole discretion) will qualify for a live rap battle at Larry B’s place in Jackson, TN (date and details TBD).

• Winners of the live battle will receive prizes (TBD; may include cash, merchandise, or recognition; no cash value guaranteed unless specified).

• We reserve the right to verify views, disqualify entries for manipulation (e.g., bots), and select alternates if needed.

• Prizes are non-transferable and non-redeemable for cash. Winners are responsible for any taxes on prizes exceeding $600.

• Second-phase rules (live battle) will be provided to qualifiers separately and must be accepted to participate.

4. Content Guidelines and Restrictions

• Entries must be original, non-infringing, and not contain obscene, defamatory, violent, discriminatory, or illegal content.

• Diss tracks or lyrical flexing is allowed, but must be artistic/hyperbolic and not include false statements of fact that could harm reputations.

• No promotion of violence, threats, or illegal activities.

• We may remove or disqualify any entry violating these rules without notice.

5. Intellectual Property Rights

• Beat License: By downloading the Beat, you are granted a limited, non-exclusive, non-transferable license to use it solely for creating and submitting a Contest entry. You may not sell, distribute, remix for commercial purposes, or use the Beat outside this Contest without written permission from Myke Milyan or us.

• Your Entry: By submitting an entry, you grant us, Myke Milyan, and any affiliates a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, display, and promote your entry (including lyrics, video, and performance) in connection with the Contest, including on social media, websites, and at events.

• You represent and warrant that your entry is original, does not infringe third-party rights (e.g., copyrights, trademarks), and that you have all necessary permissions for any samples or elements used.

• We are not responsible for any copyright claims arising from your use of the Beat or entry content.

6. Facebook and Platform Disclaimer

• This Contest is in no way sponsored, endorsed, administered by, or associated with Facebook, Meta Platforms, Inc., or any other social media platform.

• You release Facebook/Meta from any liability related to the Contest.

• Entries must comply with Facebook's Community Standards and Terms of Service. We are not responsible for platform actions, such as content removal or account suspensions.

7. Liability and Disclaimers

• Participation at Your Own Risk: You participate at your own risk. We disclaim all warranties, express or implied, regarding the Contest, Beat, prizes, or live event.

• Limitation of Liability: To the fullest extent permitted by law, we, Myke Milyan, Larry B’s place, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from the Contest, including but not limited to injuries at the live event, defamation claims from lyrics, IP disputes, or loss of data/opportunity.

• You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your entry, participation, or breach of these Terms.

• We are not liable for technical issues, such as download failures, video uploads, or view count inaccuracies.

• The live event may be canceled or modified for any reason (e.g., safety, low participation); no compensation will be provided.

8. Privacy

• Any personal information provided (e.g., via DMs) will be used solely for Contest administration and not shared with third parties without consent, except as required by law.

• By entering, you consent to us contacting you about the Contest.

9. General Provisions

• Disputes: These Terms are governed by Tennessee law. Any disputes shall be resolved in courts located in Jackson, TN. You waive class action rights.

• Force Majeure: We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, platform outages).

• Severability: If any provision is invalid, the remainder remains enforceable.

• Entire Agreement: These Terms constitute the full agreement; no oral modifications.
